PREAMBLE

WHEREAS the Client wishes to retain the Pet Care Provider to care for its pet;

AND WHEREAS the Pet Care Provider has the requisite skills, qualifications and expertise to provide care to the Pet and wishes to provide said care;

NOW THEREFORE in consideration of the promises and covenants contained herein, and other valuable consideration (the receipt and validity of which are hereby acknowledged), the Parties hereby agree as follows:

Article VI – EMERGENCIES

In the event of an emergency situation with the pet, including but not limited to physical emergencies such as uncontrolled vomiting, seizure of the pet, fever, refusal to eat, and other behavioural problems, the Pet Care Provider shall first and foremost initiate transportation to the following veterinary facility (hereinafter "Facility") for immediate treatment:

An authorization form is attached to this Contract for the Pet Care Provider to take the pet to the facility and receive treatment.

If the facility is closed for the duration of the emergency, then the Pet Care Provider will take the pet to the nearest emergency clinic.

On the way to the facility or emergency clinic, the Pet Care Provider will first attempt to reach the Client at one of the contact points listed in this Contract for the Client. If the Pet Care Provider is unable to reach the Client immediately, then the Pet Care Provider will call the following emergency contact person:

Article VII – TERM/TERMINATION

This Contract will be terminated by mutual written or oral agreement of the Parties. Until then, the Contract shall continue indefinitely.


Article VIII – ACCESS AND SECURITY

The Pet Care Provider must have access to the Client's home in order to perform the services under this Contract. As such, the Pet Care Provider shall access the home in the following manner:

In the event that the Pet Care Provider is given keys, access codes, door control information or any other means of entry and access to the Client's home or other private space, the Pet Care Provider hereby agrees to maintain the secrecy of all such information and not to share it with anyone, and to return all such information and access devices to the Client at the end of this Contract.


Article IX – RELATIONSHIP

It is hereby acknowledged and agreed that the Pet Care Provider is an independent contractor and shall in no way be construed as an employee. The Pet Care Provider is responsible for their own income tax filings.

Article XI – PET CARE PROVIDER'S LIABILITY

If any other person has access to the Client's property during the term of this Contract, the Pet Care Provider accepts no liability for any loss or damage or any other breach of security.


Article XII – GENERAL PROVISIONS

1) APPLICABLE LAW. This Contract shall be governed in all respects by the applicable provincial and federal laws of Canada. Both Parties consent to the jurisdiction of the provincial and federal courts located in the following province: Alberta. The Parties agree that this choice of law, venue and jurisdiction provision is not permissive, but rather mandatory in nature.

2) LANGUAGE. All communications made or notice given under this Contract shall be in the English language or such other languages as the Parties may agree.

3) ASSIGNMENT. This Contract, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or in part by either Party. In particular, the Pet Care Provider shall not be permitted to assign its obligations under this Contract.

4) AMENDMENTS. This Contract may be amended only by writing signed by both Parties.

5) NO WAIVER. None of the terms of this Contract shall be deemed to have been waived by any act or acquiescence of either Party. Only a further written agreement may constitute a waiver of any of the terms of this Contract between the Parties. No waiver of any term or provision of this Contract shall constitute a waiver of any other term or provision or of the same provision at a later date. The failure of either Party to enforce any term of this Contract shall not constitute a waiver of such term or any other term.

6) SEVERABILITY. If any provision or term of this Contract is found to be unenforceable, this Contract shall be deemed amended to the extent necessary to render the provision otherwise unenforceable, and the remainder of the Contract valid and enforceable. If a court declines to modify this Contract as provided herein, the invalidity or unenforceability of any provision of this Contract shall not affect the validity or enforceability of the remaining terms and provisions, which shall be enforced as if the offending term or provision had not been included in this Contract.

7) ENTIRE CONTRACT. This Contract constitutes the entire agreement between the Parties and supersedes any prior or contemporaneous agreement, understanding or arrangement, whether written or oral.

8) HEADINGS. The headings in this Contract are for convenience only and shall not be construed to limit or affect the terms of this Contract.

9) COUNTERPARTS. This Contract may be executed in counterparts, all of which together shall constitute one Contract. If the dates indicated at the end of this document are different, this Contract shall be considered effective on the date both Parties have signed the Contract, which may be the later date.
