RESIDENTIAL SUBTENANCY AGREEMENT

This subtenancy agreement is made effective as of the date indicated below and is between ________ (the "Tenant") and ________ (the "Subtenant").

The Tenant is party to a lease agreement between the Tenant and ________ dated ________ (the "Master Lease"), a copy of which is attached to this agreement as an exhibit. The Tenant wishes to sublet the leased property to the Subtenant and the Subtenant wishes to sublet the leased property from the Tenant.

The Tenant and the Subtenant therefore agree as follows:


PREMISES


1. The Subtenant agrees to use the Premises for residential purposes only.

2. The Tenant sublets to the Subtenant a property located at the following address:

TERM AND POSSESSION

Such address may be changed at will by any party. A party changing their address will provide written notice to the other interested parties as described above.


GOVERNING LAW

10. The laws of the province of Alberta, without giving effect to its principles of of conflicts of laws, and the laws of Canada in effect in the province of Alberta govern all adversarial proceedings arising out of this agreement.


LANDLORD'S CONSENT


11. The Residential Tenancies Act requires the prior written consent of the Landlord to any subletting of the Premises. Such consent has been obtained and a copy is attached as an exhibit.


SEVERABILITY

12. If there is a conflict between any provision of this subtenancy agreement and Residential Tenancies Act (the "Act"), the Act will prevail and such provision of this subtenancy agreement will be amended or deleted as necessary in order to comply with the Act. Further, any provisions that are required by the Act are incorporated into this subtenancy agreement.

13. In the event that any of the provisions of this agreement is being held to be invalid or unenforceable in whole or in part, those provisions, to the extent enforceable, and all other provisions, will nevertheless continue to be valid and enforceable as thought the invalid or unenforceable parts had not been included in this subtenancy agreement and the remaining provisions had been executed by both parties subsequent to the expungement of the invalid provision.

INCORPORATION OF LEASE

15. This agreement is subject to all of the terms of the Master Lease with the same force and effect as if each provision of the Master Lease were included in this agreement, except as otherwise provided in this agreement.

16. The Subtenant will abide by all the terms and conditions in the Master Lease. The Subtenant is is in possession of a copy of said lease.
