AMENDMENT AGREEMENT

This Amendment Agreement (the "Agreement") is made and executed on on ________ ("Effective Date")

3) The Parties hereby agree and confirm that, except to the extent amended hereby: (i) the provisions of the Original Agreement shall remain un-amended and shall continue to be in full force and effect, valid and binding on the Parties; (ii) nothing in this Agreement shall operate as a waiver of any right or remedy under the Original Agreement; and (iii) the rights and obligations created by or pursuant to the Original Agreement and the provisions contained in the Original Agreement shall remain in full force and effect.

4) The Parties represent and warrant that this Amendment Agreement constitutes a valid and binding obligation enforceable against each of them.
