CONSENT TO SUBLEASE


KNOW ALL MEN BY THESE PRESENTS:

This Consent to Sublease (the "Agreement") is entered into this ________ day of _____________________, 20______ at City/Municipality of ___________________________, Province of ___________________________, by and between:


________, Filipino, of legal age, single, and with postal address at ________, hereinafter referred to as the LESSOR

________, Filipino, single, and with postal address at ________, hereinafter referred to as the SUBLESSOR

WITNESSETH THAT:


WHEREAS, the Lessor and the Sublessor entered into a contract of lease, hereto attached and incorporated into this Agreement as Annex "A", dated ________ for the following for property (the "Property"): ________;

WHEREAS, the Sublessor and the Sublessee have entered into a contract of sublease dated ________, hereto attached and incorporated into this Agreement as Annex "B";

WHEREAS, the contract of lease provides that the consent of the Lessor is necessary to sublease the Property;

NOW THEREFORE, in consideration of the following terms and conditions, the Parties agree as follows:


I. CONSENT

The Lessor consents to the sublease of the Property subject to the terms and conditions in this Consent, the contract of lease, a copy of which is herein attached and incorporated hereto as Annex "A", and the contract of sublease, a copy of which is herein attached and incorporated hereto as Annex "B". The Lessor's consent does not include any further or other sublease of the Property.


II. SUBLEASE AGREEMENT

The Sublessor and Sublessee warrant that the contract of sublease hereto attached and incorporated into this Agreement is a true and correct copy and that the same shall not be modified without the prior consent of the Lessor which consent shall not be unreasonably withheld.


III. USE OF THE PROPERTY

The Sublessee shall only use the Property for the purpose intended under the contract of lease and shall abide by the terms and conditions of the contract of lease.


IV. NO WAIVER

Nothing in this Agreement shall release the Sublessor from any obligations under the contract of lease and shall remain liable for said terms and conditions despite any breach from the Sublessor.

In the event of breach by the Sublessor, Lessor reserves the right to pursue any remedies under the contract of lease regardless of Sublessee's compliance with the consent of sublease or this Agreement.

Any breach by Sublessee of the terms and conditions of the contract of lease shall be considered a breach by Sublessor.


V. LEASE

The contract of sublease is subject and subordinate to the contract of lease except as expressly provided in this Agreement.


VI. ASSIGNMENT AND SUBLEASE

Sublessee shall not assign nor further sublease this Property without the prior written consent of the Lessor.


VII. TERMINATION OF THE LEASE

The Sublease shall terminate when the lease period terminates for any reason. If the termination of the lease is due to a default of the Sublessor, Lessor shall inform Sublessee of the early termination of the lease by written notice within Fifteen (15) Calendar Days from the termination of the lease.

However, Sublessee shall have the option to enter into a direct lease with the Lessor provided that the Sublesee is not in default of the contract of sublease. The terms of the direct lease shall be the same as the terms on the contract of lease. The Sublessee may exercise the option by written notice to Lessor within Seven (7) Calendar Days from receipt of the notice of termination of the lease.

The period of the direct lease shall commence on the date when the contract of lease terminates. If Sublessee fails to give the aforementioned notice within the prescribed period, Sublessee shall lose the option to enter into a direct lease and the sublease shall terminate immediately.


VIII. SUPPORTING DOCUMENTS AND ADDITIONAL ACTS

The Parties agree to execute such other documents as are reasonable and necessary for the proper implementation of this Agreement.

XII. SEVERABILITY

The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. In the event that any provision of this Agreement is held to be invalid, the Parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed subsequent to the expungement of the invalid provision.


XIII. CUMULATIVE RIGHTS

The rights of the Parties under this Agreement and the law are cumulative and shall not be construed as exclusive unless otherwise required by law.


XIV. HEADINGS

Headings are for convenience only and do not affect the interpretation of this Agreement.


XV. ENTIRETY OF AGREEMENT

This Agreement represents the entire agreement between the Parties and supersedes all prior negotiations, representations, agreements, either oral or written.


XVI. AMENDMENTS AND MODIFICATIONS

This Agreement may be amended only by a written instrument signed and agreed upon by both Parties.

The Lessor's consent does not include any further or other sublease of the Property.


II. SUBLEASE AGREEMENT

The Sublessor and Sublessee warrant that the contract of sublease hereto attached and incorporated into this Agreement is a true and correct copy and that the same shall not be modified without the prior consent of the Lessor which consent shall not be unreasonably withheld.


III. USE OF THE PROPERTY

The Sublessee shall only use the Property for the purpose intended under the contract of lease and shall abide by the terms and conditions of the contract of lease.


IV. NO WAIVER

Nothing in this Agreement shall release the Sublessor from any obligations under the contract of lease and shall remain liable for said terms and conditions despite any breach from the Sublessor.

In the event of breach by the Sublessor, Lessor reserves the right to pursue any remedies under the contract of lease regardless of Sublessee's compliance with the consent of sublease or this Agreement.

Any breach by Sublessee of the terms and conditions of the contract of lease shall be considered a breach by Sublessor.


V. LEASE

The contract of sublease is subject and subordinate to the contract of lease except as expressly provided in this Agreement.


VI. ASSIGNMENT AND SUBLEASE

Sublessee shall not assign nor further sublease this Property without the prior written consent of the Lessor.


VII. TERMINATION OF THE LEASE

The Sublease shall terminate when the lease period terminates for any reason. If the termination of the lease is due to a default of the Sublessor, Lessor shall inform Sublessee of the early termination of the lease by written notice within Fifteen (15) Calendar Days from the termination of the lease.

However, Sublessee shall have the option to enter into a direct lease with the Lessor provided that the Sublesee is not in default of the contract of sublease. The terms of the direct lease shall be the same as the terms on the contract of lease. The Sublessee may exercise the option by written notice to Lessor within Seven (7) Calendar Days from receipt of the notice of termination of the lease.

The period of the direct lease shall commence on the date when the contract of lease terminates. If Sublessee fails to give the aforementioned notice within the prescribed period, Sublessee shall lose the option to enter into a direct lease and the sublease shall terminate immediately.

XII. SEVERABILITY

The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. In the event that any provision of this Agreement is held to be invalid, the Parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed subsequent to the expungement of the invalid provision.
