A Social Media Marketing Agreement is an agreement between two parties called the "marketer" and the "client", whereby the marketer provides a wide array of marketing services through the client's social media platforms to help the business of the client grow.

The industry or business that the client is in may vary and may include the sale of goods or products, or provision of services whether professional or otherwise. The client's business may then be given traction with the help of the marketer by running advertisements or promotions to help the client's business grow within the social media platforms mentioned.

In this agreement, the parties can lay down their rights and obligations to set expectations for each other. The agreement will define what will be required from the marketer especially the marketing campaigns that will be handled or the deliverables that will be provided for the client.

This agreement should not be used by an influencer or sponsor to market or advertise the client's business on the social media platforms of the influencer or sponsor. This applies only to social media marketing practitioners with the sole purpose of helping the growth of the social media platforms of their clients.


How to use this document

The following information should be provided if applicable to complete the document:

  • Information concerning the identity of the parties,
  • The business operated by the client,
  • The specific social media marketing services that the marketer will render,
  • The location where the services will be rendered,
  • An option to oblige the parties to maintain the confidentiality of confidential information,
  • The fees for the services rendered, and
  • The term or duration of the agreement.

If the document will be acknowledged, the parties (or their respective representatives) should present themselves before a notary public with all the original copies of the document and their attachments. The parties (or their respective representatives) should also bring a competent form of identification, such as a passport or driver's license.

If the document is acknowledged, the notary public will keep one original copy of the document. Both parties should each keep a copy of the document for their records.


Applicable law

Consulting agreements are governed by the Civil Code of the Philippines. The 2004 Rules on Notarial Practice is also applicable if the document will be acknowledged before a notary public.
