This Coworking Space Agreement can be used when a shared workspace is being rented from a landlord (or Licensor) to a tenant (or Licensee). For coworking spaces, this Agreement will provide a quick and easy way to outline all of the terms of the agreement between the parties.

This Agreement can be used for any type of coworking space, including those providing hot desk services, cabin services, conference rooms, etc.

For any other type of commercial lease transactions including godowns, office spaces, malls, shops, etc. a separate Commercial Lease Agreement is available.

This Agreement will create a legally binding contract between the parties, outlining the rights and responsibilities of both the Licensor and the Licensee. This agreement contains a number of variable terms, including:

  • the duration of the agreement
  • whether the tenant will have options to renew the agreement
  • the amount of rent and the frequency of payments
  • whether a security deposit will be held
  • what the tenant can do with the workspace
  • how the agreement can be terminated
  • the parties' rights after a breach


How to use this document?

After preparing a lease agreement, it needs to be printed on a non-judicial stamp paper. The value of the stamp paper may vary from state to state. Therefore, it's best to check the website of the concerned revenue department of each state to get the correct information.

Both the Licensor and Licensee shall sign and keep copies of the agreement for future reference.

if the lease period is less than 12 months, then agreement registration is optional. However, if the lease period is longer than 12 months, then the agreement must be registered with the local sub-registrar where the property is located. This is necessary to make the agreement a valid document. The lease exceeding 12 months shall be registered within 4 (four) months from the date of signing the lease, failure to do so may attract a penalty amount equivalent to 10 times the registration fee.


Applicable law

The provisions of the Indian Contract Act, 1872 apply to the rental of coworking spaces. Further, the Goods and Services Tax may also be applicable to the rent under the Goods and Services Tax Act, 2017.

The registration of the lease will be governed by the Indian Registration Act, 1908.
