An Advertising Agency Agreement is a document through which a client hires an advertising agency to assist with many different advertising needs. The client is generally a business, but can be an individual as well, and usually, the client is looking to grow their business, including growing their sales or maybe growing their audience. Advertising agencies often perform a range of services for their clients, including everything from basic consulting to designing and publishing the ads for them. Advertising agencies, also called ad agencies, often have relationships with other businesses that can help the client advertise their business.

Clients working with ad agencies are very common nowadays, as many individuals and companies are trying to grow their businesses, especially online businesses.

This document is different than an Affiliate Agreement. In that type of relationship, there can be multiple different affiliate forms, but the crux of the relationship is that the company controls the entire system and decides whether to allow affiliates in. This is also different than an Online Advertising Agreement, as that is just about one client working with one publisher to publish the client's ads (not about a whole agency doing multiple different advertising services for the client, as in here).

Finally, this document is slightly different than a Marketing Agreement or a Social Media Marketing Agreement. A Marketing Agreement is a bit more tailored and generally provides for a marketer to assist a client in selling goods or services - it usually doesn't include the wide range of services that an ad agency would do. In a Social Media marketing Agreement, again the focus is quite narrow - it is just about marketing services on social media, not about general ad services like an agency would provide.

 

How to use this document

This document would ideally be used by a client looking for help from an agency, or it can be used by an agency looking for a template to use with their clients. Here, pertinent identifying details of the parties will be inserted, as well as the basics of the client's business. Most importantly, however, the agreement will define the specific services the client is contracting for. Several options are available, but there is also the possibility of inputting customizable services.

There will also be general contract provisions included, which cover the state location for any disputes, as well as other general terms.

When this agreement is filled out, it should be printed for each party to sign. Then each party should also keep their own copy, as a record.

 

Applicable law

Online Advertising in the United States are subject to both Federal laws and specific state laws, which cover general contract principles like formation and mutual understanding. The Federal Trade Commission, or FTC, in the United States, oversees online advertising and has certain requirements for areas of that advertising, such as affiliate disclosures. This will be relevant to the parties' agreement.
