An Online Advertising Agreement is a document through which two parties, the publisher and the client, form a relationship whereby the publisher agrees to publish certain of the client's advertising content on a website that the publisher owns or operates. The client is most often an advertiser, who wants a bigger audience. Online Advertising Agreements generally only cover certain limited types of advertising, such as banner advertisements, click-throughs, or multimedia (like photo or video advertisements).

Online Advertising are very common nowadays, as many individuals and companies have thriving online businesses which receive a lot of views each day. Advertisers often want to reach the same audience as the publisher that they contract with, which makes these deals very logical and often lucrative. For example, many travel agencies or travel companies will choose to advertise on a travel blogger's website. This agreement is designed to cover those exact situations.

This document is different than an Affiliate Agreement. In that type of relationship, there can be multiple different affiliate forms, but the crux of the relationship is that the company controls the entire system and decides whether to allow affiliates in, rather than as in here, the relationship is a mutual one.

 

How to use this document

This document would ideally be used by a company or individual publisher looking for a comprehensive agreement for their advertising clients. This document contains a table which allows for the inclusion of all different types of advertisements at all different types of price points and run dates. In other words, it is fully customizable for exactly what is needed.

In this document, the form filler will be able to enter pertinent identifying details of the publisher, such as the name and website, as well as information on what the website is or does. Then, details of the client will be added, including information on the client's business model, as well as specific advertisement information, as noted above.

There will also be general contract provisions included, which cover the state location for any disputes, as well as other general terms.

When this agreement is filled out, it should be printed for each party to sign. Then each party should also keep their own copy, as a record.

 

Applicable law

Online Advertising in the United States are subject to both Federal laws and specific state laws, which cover general contract principles like formation and mutual understanding. The Federal Trade Commission, or FTC, in the United States, oversees online advertising and has certain requirements for areas of that advertising, such as affiliate disclosures.
