A Digital Image License Agreement is a document used by the owner of a copyrighted digital image to sell a license, or permission, to use that image to an interested buyer. Digital images are items of intellectual property. When a photographer, designer, or artist creates a digital image, they automatically have exclusive rights, also known as copyright, to the use of that intellectual property. Copyright laws protect image owners from third parties who may use their intellectual property unfairly or without permission. A Digital Image License allows the image creator to retain their copyright while selling the license to use the image and getting paid for that use. In exchange for payment, the buyer has permission to use the images in a certain way for a set period of time.

This license can be used by anyone who would like to sell the rights to use a digital image that they have created. For example, a wedding photographer may grant a married couple permission to use photographs from their shoot of the wedding for personal use. In this case, the couple may display the images on personal platforms as long as they do not alter the photos and give proper credit to the photographer. The wedding photographer may also allow a wedding planning business to license these digital images for commercial use on their website. The photographer may agree to let the business alter the photos with their permission, but may limit the number of times the business may reproduce them.

A Digital Image License is an excellent option for sellers who would like to make money for the use of their intellectual property while protecting their copyright and for buyers who would like to use digital images without running afoul of copyright law. This document is used specifically to license the right to use digital images. To create licenses to use other types of intellectual property, such as music or writing, use a General Purpose Licensing Agreement instead.


How to use this document

This document includes all of the information necessary to create a thorough and comprehensive Digital Image License Agreement. This Agreement can be created by either the buyer or the seller but its terms must be agreed to and signed by both parties. The document includes various options to tailor the Agreement to meet the parties' needs. The Agreement allows the Parties to specify the following important details that will guide their buyer/seller relationship:

  • Name and contact information for both Parties, including the seller and the buyer
  • Description of the type of digital image that is being licensed
  • Length of the license, specific start and end dates, and whether the license will automatically terminate at some point or will continue in perpetuity until or unless the parties decide to terminate it
  • Restrictions on the use of the image, such as an image reproduction limit
  • The price of the image, a payment schedule, and deposit details if necessary
  • Whether the buyer will have permission to assign the use of the digital image to a third party

After inputting the required information, the Agreement is printed out and signed by both Parties, and then kept on file by both Parties for the duration of the Agreement as well as for a reasonable period of time thereafter.

Applicable law

There are no laws outlining what must be put into a Digital Image Licensing Agreement. Overall, intellectual property in the United States is covered under primarily federal law, with the main statute applicable being the Copyright Act of 1976. It is best practice to include as much detail about the work as possible, in your Agreement, so that if a dispute should arise, the rights to the specific work are clear.
