A Director Consent Letter, otherwise known as Director Consent Form, is a letter which expressly states that a party voluntarily accepts the appointment to act as a director of a Company.
In Nigeria, either a person or a company can act as a director of a Company. However, for an appointment to be valid, such a person must have attained the age of 18 years and not disqualified from being a director under the Nigerian laws.
How to use this document
This document can be used by a person or a company who has been newly appointed to act as a director of a Company.
After filling this form, the newly appointed director must sign the letter. If the newly appointed director is a company, a director of that company who is its authorized representative must sign this document. After signing the document, the newly appointed director must deposit a signed copy to the appointing Company.
The appointing Company must file the appointment at the Corporate Affairs Commission, which is the body that regulates the affairs of companies and this should be done within 14 days from the date of appointment. If this is not filed within 14 days of appointment, the Company will be required to pay monetary penalty for late filing.
