The Letter of Request to Alter Contract is a document used by a party to a contract to suggest or request changes to some provisions of an agreement. Generally, once parties have agreed on the terms of a given contract, they are bound by them and can not alter the terms of their agreement unless all the parties agree to the alterations. Many situations can lead to a change in contract. For example, a party that is required to supply a specific amount of goods at a specific period may fail to do so due to government policies or some other reasons. Therefore, in situations where a party is seeking to alter the terms of their agreement, they must first communicate their intention in writing to the other party.

However, note that this document is not a contract and does not change the agreement between the parties as it is only the first step a party must take to alter their contract. After the recipient has received the document, the parties can deliberate or renegotiate new terms and when the recipient agrees to the new changes made, the alteration can be reflected in a Contract Amendment, or a new contract containing the amended provisions may be drawn up.

How to use this document

This document can be used by a party who wishes to amend any oral agreement or written contract, such as a Joint Venture Agreement, Employment Agreement, Non-Disclosure Agreement, Partnership Agreement, Memorandum of Understanding or other written contracts.

The form filler will be expected to fill in the names and addresses of the sender and recipient, the date of the oral or written contract, a concise description of the original contract, and the specifics of the alteration.

After completing this document, the party seeking the alteration should sign the letter and deliver it to the recipient. Alternatively, this document may be sent via email.

The party sending this letter should keep at least one signed copy for record purposes.
