Letter of Request to Alter Contract Due to the COVID-19/Coronavirus Crisis

This letter is used to propose or request changes to a contract. This letter is appropriate for a party to the agreement that wants to make some changes to their original agreement. This could be minor or major changes.

This document should be used by a party whose position has been affected by the coronavirus outbreak, and would be unable to fulfill certain obligations stipulated under an oral or written contract.

Due to the global pandemic, businesses have been forced to shut down, and peoples' lives have been altered. As a result, it has become impossible for parties to fulfill certain contractual obligations in some cases. For example, a supplier who has been contracted under a Sales of Goods Agreement to supply goods to a buyer, may not fulfill this obligation because of the lock-down policy in their city.

Note that this document is not a contract and does not change the agreement between the parties, as it is only the first step a party must take to alter their contract. After the recipient has received the document, the parties can deliberate or renegotiate new terms and when the recipient accedes to the new changes made, the alteration can be reflected in the original contract or a new contract containing the amended provisions may be drawn up.

This document can be used by a party who wishes to amend written contracts, such as, Joint Venture Agreement, Employment Agreement, Non-Disclosure Agreement, Partnership Agreement, Memorandum of Understanding and other oral or written contracts due to the coronavirus crisis.

The document should be completed by filling the names and addresses of the sender and recipient, the date of the oral or written contract, concise description of the original contract and the specifics of the alteration.

After completing this document, the party seeking the alteration should sign the letter and deliver it to the recipient. Also, the sender should keep at least one signed copy for record purposes.
