An Affidavit of Loss of Certificate of Registration is a document deposed to by an officer of an organization explaining the circumstances of the loss of the organizations certificate of registration.

After registering a company or an organization, a certificate of registration bearing the name of the organization, registration number and date of registration is issued by the Corporate Affairs Commission. However, the certificate may be lost or destroyed and a new one may be required to replace the original certificate. In this case, a director, partner or other senior officer of the organization should apply for a certified true copy of the certificate of registration.


How to use this document

This document is used to support an application for the certified true copy of a certificate of registration.

After completing the document, the document should be printed. The date and the state where this application will be made should be entered in the blank spaces, and the signature of the applicant should be appended on the document.

Consequently, if the applicant is a company, this document should be signed by one director of the company and delivered to the CAC with the following:


If the sender of this letter is a business name (i.e sole proprietor or partnership), this document should be signed by the proprietor or a partner of the business and delivered to the CAC with the following:

  • a signed letter of application;
  • an updated annual returns (where applicable);
  • the photocopy of the proprietor's valid means of identification (such as National I.D card, Driver's licence or International passport); and
  • payment of fees.


If the sender of this letter is an incorporated trustee, this document should be signed by the chairman or secretary of the incorporated trustee and delivered to the CAC with the following:

  • a signed letter of application;
  • an extract of minutes of general meeting authorizing the application;
  • the photocopy of the proprietor's valid means of identification (such as National I.D card, Driver's licence or International passport);
  • if the certificate was lost, an extract of police report of loss;
  • an updated annual returns (where applicable); and
  • payment of fees.


After this is done, the certified true copy of the certificate of registration will be issued to the applicant.


Applicable law

The Companies and Allied Matters Act, 2004 regulates the adminstration of companies anc orher registered organizations in Nigeria. The CAC regulations are also applicable to this document.
