Agency Agreement

An Agency Agreement is an agreement whereby a person (called the agent) is granted the authority to act on behalf of another called the principal. Under this contract, the principal authorizes the agent to perform some tasks on the principal's behalf. In carrying out those specific tasks, the agent must act within the scope of the authority given to the agent. Consequently, the agent must not do acts that are not authorized by the principal.

This agreement implies that any activity conducted by the agent will be binding on the principal, provided the agent is acting under the principal's authority, which means that the principal can be liable for the misconduct on the part of the agent.

This agreement will be required whenever a person engages another person to conduct business on their behalf.

For example, Mr. A can hire Mr. B to negotiate a contract, make a purchase on their behalf, or auction their properties. In other words, a person can hire an agent to provide all sorts of services.

This document shares some similarities with the Power of Attorney, as both are legal documents that create an agency relationship. This document differs from an Employment Contract because the agency agreement does not create an employment relationship where the employee is entitled to insurance, retirement plan, and other employment benefits. Also, the agency agreement is usually created for a short period.

How to use the document

This document allows both the principal and the agent to outline their expectations. Within this agreement, the form filler will be required to enter certain vital information, such as the description of the services or tasks the agent will be performing, the agent's scope of authority, and the agent's remuneration.

After completing this document, the document should be printed and at least two copies of the document should be signed by the principal and the agent.

Both parties can keep at least one copy each for record purposes.
