Breach of Contract Notice

A Breach of Contract Notice is a document notifying a party of their violation of particular provisions of an oral or written agreement. This document also informs the party in breach of the period within which they must remedy such violation to avoid legal action being brought against them.

Sometimes, some parties to an agreement do not perform their obligations under a contract or violate some terms of their contract. Hence, this document will be used to inform the violating party about their breach, reiterate a party's expectation and salvage the agreement while maintaining an amicable business relationship with the violating party. This document can also stop a small breach from becoming a large one and may stop additional issues from developing.

This document can serve as a warning to the violating party before commencing an action for breach of contract in a court of competent jurisdiction.

How to use this document

The form filler is expected to provide the names and addresses of the sender and recipient, itemize the specific clauses of the agreement that have been violated, give a detailed description of the breach and the period or date within which the breach must be remedied.

After filling this form, the sender will sign the letter and deliver it to the recipient. Some people sign two copies of the letter and deliver to the recipient who will receive one and acknowledge their receipt of the document on the other copy. The sender should keep the acknowledged copy for record purposes.

If the violating party's breach persists, the other party may contact their lawyer and seek redress in court or explore other alternative disputes resolution mechanisms (such as mediation, negotiation or arbitration).

Applicable law

There is no Nigerian law regulating the contents and the manner in which this document will be written. However, it is best practices that this document be issued to a party who has violated any part or provision of an agreement to notify them about the breach.
